Terms governing the Match Central waitlist and pre-launch phase
1. Scope
These Terms of Service (hereinafter the “Terms”) govern your use of the Match Central pre-launch website (matchcentral.app and any associated Framer subdomains), your registration for the Match Central waitlist, your receipt of pre-launch communications, and your scheduling of non-binding demo conversations with 5AM PRODUCTIONS UG (haftungsbeschränkt), Wandsbeker Chaussee 34, 22089 Hamburg, Germany, represented by its Managing Director Akim Yusuf (the “Provider”). Any deviating terms put forward by the user shall not become part of the agreement unless the Provider expressly agrees to them in writing.
2. Subject Matter
Match Central is currently in a pre-launch phase. The only services offered under these Terms are: (a) joining a waitlist via the signup form, (b) receiving preparatory product information and product-update emails (so-called “drip emails”), and (c) optionally scheduling a non-binding demo conversation. Registering for the waitlist does not constitute a paid SaaS contract and does not create any binding entitlement to future product access. A separate SaaS Master Services Agreement will govern any commercial relationship at launch and will be made available to the user in due time prior to contract conclusion.
3. Services
The services provided under these Terms include: maintaining an informational website, storing the data submitted during waitlist signup for the purpose of later notification, sending pre-launch emails (typically at most two emails per month) and, on request, scheduling a free, non-binding demo conversation. All of the above services are provided free of charge. The user has no claim to permanent availability; planned or unplanned downtime of the pre-launch site does not give rise to any claims.
4. Registration and User Obligations
Waitlist registration requires a valid email address and, optionally, additional information such as role or function. The user warrants that the information provided is accurate and that they are authorised to use the email address submitted. The user agrees not to use the site in any manner contrary to applicable law, including automated submissions, spamming, or attempts to bypass technical protection measures.
5. Data Processing
All processing of personal data is governed exclusively by our Privacy Policy, which forms an integral part of these Terms and is available at /privacy at any time.
6. Right to Cancel / Unsubscribe
The user may revoke their waitlist registration at any time without stating any reason. Cancellation can be made via the dedicated unsubscribe page at /unsubscribe or simply by email to akim@5am-sports.com. Upon receipt of the cancellation, all related user data will be deleted without undue delay, at the latest within 14 days, except where statutory retention obligations require otherwise.
7. Limitation of Liability
The Provider is liable without limitation for intent and gross negligence, as well as under the German Product Liability Act. For ordinary negligence the Provider is liable only in the event of a breach of a material contractual duty (cardinal duty), the fulfilment of which is essential to the proper performance of the agreement and on whose fulfilment the user regularly relies. In such cases, liability is limited to the foreseeable damage typical for the type of contract. Liability for damage resulting from injury to life, body or health remains unaffected. Beyond that, the Provider’s liability is excluded to the maximum extent permitted by law.
8. Availability
The Provider endeavours to keep the pre-launch site accessible but does not warrant uninterrupted or error-free availability. Maintenance work, technical issues or force majeure may result in temporary interruptions. Claims for damages arising from such interruptions are excluded to the maximum extent permitted by law.
9. Changes to these Terms
The Provider reserves the right to amend these Terms with effect for the future, to the extent reasonably required by changes in the applicable legal framework or in the services offered. Amendments will be communicated to registered waitlist users by email at least 14 days before they take effect. If the user does not object to the changes within this period, the amended Terms shall be deemed accepted. The user will be expressly informed of this right to object and its consequences in the notification.
10. Governing Law, Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Where the user is a merchant, a legal entity under public law or special public law assets, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for any disputes arising out of or in connection with these Terms is Hamburg, Germany. Mandatory statutory provisions regarding exclusive places of jurisdiction remain unaffected.
11. Severability
If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by such valid and enforceable provision whose economic effect comes closest to the original intent of the parties.
12. Provider / Responsible Entity
The Provider for the purposes of these Terms is 5AM PRODUCTIONS UG (haftungsbeschränkt), Wandsbeker Chaussee 34, 22089 Hamburg, Germany, registered in the commercial register of the Hamburg Local Court (Amtsgericht Hamburg) under HRB 161756, represented by its Managing Director Akim Yusuf.
